These Website Terms and Conditions (the "Terms") govern access to and use of the public websites operated by Common Share Inc. ("CommonShare," "we," "us," or "our") at www.commonshare.com and news.commonshare.com, including their public content and interactive features (collectively, the "Website").

Please read these Terms carefully. By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1 About CommonShare

Common Share Inc. is a Delaware corporation with an address at 1065 SW 8th Street, Miami, Florida 33130, United States.

2 Scope of These Terms

These Terms govern the public marketing and informational Website only. They do not govern CommonShare's hosted software platform, customer workspaces, APIs, marketplace transactions, or subscription services. Those products and services are governed by the applicable SaaS agreement, order form, data processing agreement, and any other agreement between CommonShare and the relevant customer.

If these Terms conflict with a separately signed agreement concerning a CommonShare product or service, the signed agreement controls for that product or service.

3 Eligibility and Business Use

The Website is intended primarily for business audiences. Anyone may view publicly available content, but you must be at least 18 years old to submit a form, schedule a demonstration, use chat, or otherwise provide information through an interactive Website feature.

If you use the Website on behalf of a company or other organization, you represent that you have authority to act on its behalf in connection with that use.

4 Informational Content and No Professional Advice

The Website may provide information about supply chains, sustainability, traceability, environmental impacts, compliance, regulations, standards, certifications, digital product passports, artificial intelligence, and related subjects. This content is provided for general informational purposes only.

Website content is not legal, regulatory, financial, accounting, assurance, engineering, scientific, or other professional advice. It is not a substitute for advice from qualified professionals who understand your facts and jurisdiction. Regulatory requirements, standards, methodologies, and interpretations may change, and Website content may not reflect the latest developments or apply to your circumstances.

5 Demonstrations Pricing and Services

The Website may allow you to request a demonstration, schedule a meeting, or express interest in CommonShare products. These activities do not require CommonShare to provide services or create a customer relationship.

Any prices, plans, features, timelines, availability statements, or product descriptions displayed on the Website are illustrative and informational unless expressly incorporated into a signed agreement. They may change without notice. Purchases and payments do not occur through the public Website. Any purchase is subject to an applicable order form, SaaS agreement, and other agreed terms.

6 Intellectual Property

The Website and its content—including text, graphics, designs, interfaces, software, code, databases, articles, reports, videos, images, trademarks, logos, and the selection and arrangement of those materials—are owned by CommonShare or its licensors and are protected by intellectual-property and other laws.

Subject to these Terms, CommonShare grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for lawful internal business and informational purposes. No rights are granted except as expressly stated.

"CommonShare," associated logos, and other CommonShare product or service names are trademarks or trade dress of CommonShare. You may not use them in a manner that suggests sponsorship, endorsement, or affiliation without our prior written permission.

7 Permitted Sharing of Resources

You may download, reproduce, and share Website articles and resources for your organization's internal, noncommercial business use if you:

  • retain all copyright, attribution, and proprietary notices;

  • clearly identify CommonShare as the source;

  • do not materially alter the content or present it misleadingly;

  • do not sell, license, or commercially exploit it; and

  • do not imply that CommonShare endorses you, your organization, or your conclusions.

Any other reproduction, republication, distribution, adaptation, or commercial use requires CommonShare's prior written permission.

8 Prohibited Conduct

You may not, directly or indirectly:

  • introduce malware, malicious code, harmful content, or unreasonable technical loads;

9 Chat and AI Generated Responses

The Website may provide live and AI-assisted chat. The feature may generate automated responses and may transfer a conversation to a human representative.

AI-generated responses may be inaccurate, incomplete, or outdated. They are provided for convenience and general information only and are not professional advice. You are responsible for verifying any response before relying on it. Do not submit sensitive personal information, confidential business information, credentials, regulated data, or information you do not have authority to disclose.

10 Communications and Feedback

If you submit an inquiry, you authorize us to respond using the contact information you provide. Marketing communications are subject to our Privacy Policy and applicable law, and you may unsubscribe as described in those communications.

If you voluntarily provide ideas, suggestions, or feedback about the Website or CommonShare's products, you grant CommonShare a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. COMMONSHARE DOES NOT WARRANT THAT WEBSITE CONTENT IS COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR PURPOSE, OR THAT THE WEBSITE WILL BE UNINTERRUPTED OR FREE OF ERRORS OR HARMFUL COMPONENTS.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

15 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMMONSHARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, COMMONSHARE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PUBLIC WEBSITE OR THESE TERMS WILL NOT EXCEED US$100.

These limitations do not exclude liability that cannot lawfully be excluded or limited.

16 Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless CommonShare and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising from your unlawful use of the Website, your material breach of these Terms, or your infringement of a third party's rights.

CommonShare may control the defense of a covered claim, and you agree to provide reasonable cooperation. You may not settle a claim in a manner that admits fault by or imposes obligations on CommonShare without our written consent.

17 Governing Law and Courts

These Terms and any dispute arising from or related to them or the Website are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

You and CommonShare submit to the jurisdiction of the state and federal courts located in New York, New York for disputes arising from or related to these Terms or the Website. Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief in a court of competent jurisdiction.

These Terms do not require arbitration.

18 Changes to These Terms

We may update these Terms from time to time. The revised Terms become effective when posted unless a later date is stated. The date above identifies the latest revision. Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

19 General Terms

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

These Terms, together with the Privacy Policy and any notices expressly incorporated into them, are the entire agreement concerning use of the public Website. They do not replace any separately signed agreement governing CommonShare products or services.
